  • "Intellectual Property" means all copyrights, trademarks, patents, trade secrets, and other intellectual property rights.

Our services extend beyond the overview listed below and can be tailored to meet individual client needs and requirements. We offer tiered packages based on the scope of work, and the prices shown serve as indicative ranges rather than final quotes. Specific service details may vary depending on client requirements.

3.1 Automation Packages (from R2,500)

We provide comprehensive automation solutions including:

  • Business process analysis and optimization
  • Workflow automation implementation
  • System integration and setup
  • Training and handover support

3.2 Strategic Toolkits (from R750)

Digital resources including:

  • Business process templates and checklists
  • Implementation guides and frameworks
  • Strategic planning tools
  • Best practice documentation

3.3 Consulting Services (from R4,500)

Professional consulting including:

  • Strategic business advice
  • Process optimization recommendations
  • System architecture planning
  • Implementation strategy development

4. User Obligations

4.1 Account and Registration

If you create an account or register for our Services, you agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your account credentials
  • Be responsible for all activities under your account
  • Notify us immediately of any unauthorized use

4.2 Acceptable Use

You agree not to:

  • Use our Services for any illegal or unauthorized purpose
  • Interfere with or disrupt our Services
  • Attempt to gain unauthorized access to our systems
  • Use our Services in a way that could damage our reputation
  • Violate any applicable laws or regulations

4.3 Compliance with Laws

You agree to comply with all applicable South African laws, including but not limited to:

  • The Consumer Protection Act 68 of 2008
  • The Electronic Communications and Transactions Act 25 of 2002
  • The Protection of Personal Information Act 4 of 2013 (POPIA)

5. Intellectual Property Rights

5.1 Our Intellectual Property

All Content, trademarks, service marks, and other intellectual property on our Website and in our Services are owned by or licensed to Rooted to Grow. You may not reproduce, distribute, or create derivative works without our express written permission.

5.2 Client Data

You retain ownership of any data or materials you provide to us. By providing such data, you grant us a limited license to use it solely for providing the Services. Once we finalise services, you have 30 days to ensure all data, elements etc. given to you is within your servers or data base as we cannot keep folders and files due to storage space for longer that that period.

5.3 Deliverables

Upon full payment, you will own the intellectual property rights to deliverables specifically created for you, unless otherwise agreed in writing. Please note that templates, guides, toolkits remain the IP of Rooted To Grow.

6. Payment Terms

6.1 Pricing

Our current pricing is as follows, but not limited to pricing and/or services:

  • Automation Packages: from R2,500 (excluding VAT)
  • Strategic Toolkits: from R750 (excluding VAT)
  • Consulting Services: from R4,500 (excluding VAT)

6.2 Payment Methods

We accept payments via:

  • Electronic funds transfer (EFT)
  • Credit card payments through secure third-party processors
  • Other payment methods as agreed

6.3 Payment Terms

  • Full payment is required before service commencement unless otherwise agreed, but specific services will have specific payment terms as per the Appendix shared in the proposal
  • Any services delivered where changes to scope of work, timelines, or deliverables occur, must be agreed in writing and will potentially incur additional costs
  • Invoices are payable within 30 days of issue
  • Late payments may incur interest at the maximum rate permitted by law

6.4 Refunds

  • Services are non-refundable once work has commenced as Rooted to Grow commits resources and expertise immediately upon acceptance, making refunds unfeasible
  • Digital products are non-refundable once delivered
  • Service cancellations will be subject to cancellation fees

7. Limitation of Liability

7.1 Service Limitations

While we strive to provide high-quality Services, we do not guarantee that our Services will be uninterrupted, error-free, or meet your specific requirements.

7.2 Liability Cap

To the maximum extent permitted by South African law, our total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim.

7.3 Excluded Damages

We shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.

7.4 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control.

8. Data Protection and Privacy

8.1 POPIA Compliance

We are committed to complying with the Protection of Personal Information Act 4 of 2013 (POPIA). Our Privacy Policy, available at https://rootedtogrow.co.za/privacy-policy, explains how we collect, use, and protect your personal information.

8.2 Data Security

We implement appropriate technical and organizational measures to protect your personal information against unauthorized access, alteration, disclosure, or destruction.

8.3 Data Subject Rights

You have the right to:

  • Access your personal information
  • Correct inaccurate information
  • Request deletion of your information
  • Object to processing in certain circumstances
  • Lodge a complaint with the Information Regulator

9. Termination

9.1 Termination by You

  • If a project is cancelled or paused after commencement, completed work and time invested will be billed in full
  • Any unused portion of services cannot be refunded but may, at Rooted to Grow’s discretion, be credited toward future work.

9.2 Termination by Us

We may terminate these Terms immediately if:

  • You breach any provision of these Terms
  • We cease to provide the Services
  • For any other lawful reason

9.3 Effect of Termination

Upon termination:

  • Your right to use our Services ceases immediately
  • We will delete your account and data after a 30 day period
  • Outstanding payments remain due
  • Sections 5, 7, 8, 10, and 11 survive termination

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa.

10.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts.

10.3 Alternative Dispute Resolution

We encourage amicable resolution of disputes. You may contact us to attempt to resolve any dispute informally before commencing legal proceedings.

10.4 Consumer Protection

If you are a consumer as defined in the Consumer Protection Act 68 of 2008, you have additional rights that may not be limited by these Terms.

11. General Provisions

11.1 Entire Agreement

These Terms form the general agreement for use of our Services. Any client proposal or project-specific terms and conditions will take precedence for the defined scope of work, and together they represent the complete agreement between you and us, superseding any prior discussions or understandings.

11.2 Amendments

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our Website and updating the "Last updated" date.

11.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

11.4 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

11.5 Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to a third party.
